Actively Managed Certificates.
An investment strategy, defined and issued as a security. Built with the structure, governance and distribution pathway the mandate requires.
The concept
What is an Actively Managed Certificate?
An Actively Managed Certificate is a structured security whose value is linked to a defined portfolio or investment strategy. A designated manager may adjust the underlying exposures within agreed parameters, while investors hold the issued security rather than directly owning every underlying asset.
The exact rights, risks, liquidity, costs and operational arrangements depend on the issuer, terms and strategy. An AMC is not automatically a fund substitute or suitable for every investor.
From mandate to market
A considered route to issuance.
Define the strategy
Clarify the mandate, eligible assets, trading approach, investor profile and commercial objective.
Design the structure
Coordinate the issuing framework, manager role, custody, administration, documentation and risk controls.
Issue the security
Work through terms, identification, servicing and reporting with the relevant parties.
Prepare access
Align the bank, broker or platform route with product support and investor eligibility.
Distribution support
Issuance is a start, not the finish line.
We help clients make the path from a completed structure to an informed, workable order process.
Platform and bank pathways
Assess whether relevant investment platforms, wealth-management channels, banks or brokers can support the specific security. Availability is platform- and jurisdiction-dependent.
Professional capital networks
Where appropriate, facilitate introductions to specialist capital-raising firms and professional investor networks.
Sales and IR education
Equip client teams to explain the structure, investment process, dealing steps and key risk questions consistently.
Investor conversations
Join relevant discussions to explain the structure and process, within the applicable permissions and marketing rules.
Private placement awareness
Help distribution teams understand when offers, communications and investor access require local professional advice and approvals.
Order-path coordination
Help map the steps from an eligible investor and a supported intermediary to an order for the security.
The order pathway
Familiar mechanics. Specific requirements.
Where an AMC has an ISIN and is supported by a bank, broker or investment platform, an eligible investor may be able to identify and request it through that intermediary. The intermediary performs its own onboarding, suitability and dealing checks.
Order acceptance, settlement, transferability, liquidity and platform availability are not guaranteed. They depend on the security's terms, the intermediary and applicable law.
Map your distribution routeIllustrative only. The route varies by issuer, intermediary, jurisdiction and investor status.
Good fit
When an AMC may be worth exploring.
A defined investment strategy needs an issued security format.
The intended investors are sophisticated or professional and can assess the relevant risks.
Active management of a reference portfolio is central to the mandate.
Issuance, ongoing governance and distribution are planned together.
Common questions
Start with the right questions.
Is an AMC the same as a fund?
No. An AMC is a security with terms set by its issuer. A fund has a different legal and regulatory structure. The suitable route depends on the strategy, investors and jurisdictions.
Can investors buy it through their bank?
Potentially, when the security and intermediary support that route, and the investor meets all eligibility and onboarding requirements. An ISIN alone does not guarantee bank acceptance or liquidity.
Does Deal Flow Capital help with distribution?
Yes. We can assess platform pathways, make appropriate professional introductions, train client teams and help explain the structure. Activities remain subject to applicable permissions and private placement rules.
How long does an AMC take to launch?
Timing depends on the strategy, issuer, documentation, service providers and approval requirements. We scope the work before giving a project-specific estimate.
